These Terms of Service govern your access to and use of CareFree Plus, Inc.'s website, healthcare supply-chain services, sourcing services, procurement services, quotations, communications, and transactions.
1. About CareFree Plus, Inc.
CareFree Plus, Inc. provides healthcare organizations, medical facilities, distributors, procurement teams, and institutional customers with medical product sourcing, equipment sourcing, strategic procurement, supplier coordination, documentation support, logistics coordination, order fulfillment coordination, international sourcing, and related consulting services. The products and services for each transaction are described in the applicable quotation, invoice, purchase order, contract, or written agreement.
2. Acceptance of These Terms
These Terms govern your access to and use of the CareFree Plus, Inc. website, sourcing services, procurement services, vendor coordination, logistics coordination, quotations, communications, and transactions. By accessing the website, requesting a quote, submitting a purchase order, making a payment, purchasing products, or using our services, you agree to these Terms. If you act for an organization, you represent that you have authority to bind it. If you do not agree, do not use the website or submit an order.
3. Business-to-Business Services
Unless CareFree Plus, Inc. expressly agrees otherwise in writing, our services and products are intended primarily for businesses, healthcare organizations, medical professionals, facilities, government agencies, distributors, and other institutional customers. Certain products may be intended only for licensed or qualified healthcare professionals. Customers are responsible for determining whether a product is appropriate and legally permitted for its intended use.
4. No Medical Advice
CareFree Plus, Inc. is a medical supply, sourcing, procurement, and supply-chain company. CareFree Plus, Inc. does not provide medical advice, diagnoses, prescriptions, treatment recommendations, or clinical services. Product descriptions, manufacturer documentation, specifications, communications, and website information are provided for procurement and informational purposes only and are not a substitute for professional clinical judgment.
5. Product Information
We make reasonable efforts to provide accurate product descriptions, specifications, availability, manufacturer information, and related information. Manufacturers may change products, packaging, specifications, and regulatory status without notice. Images may be illustrative, availability may change, and manufacturer documentation controls if it conflicts with general website information. Customers must review product specifications before ordering.
6. Requests for Quotations
A request for quotation does not obligate CareFree Plus, Inc. to supply a product or service. Quotes may reflect product and supplier availability, manufacturer pricing, quantity, destination, freight, currency exchange, taxes, duties, insurance, customs, regulatory requirements, and lead times. Unless stated otherwise, quotations may be modified or withdrawn before acceptance and payment and are valid only for the period shown.
7. Orders and Purchase Orders
An order becomes binding when CareFree Plus, Inc. accepts the customer's order request or purchase order and receives any required payment or deposit. We may reject an order for lawful reasons, including unavailability, pricing errors, supplier restrictions, export restrictions, compliance concerns, regulatory restrictions, fraud concerns, payment problems, verification issues, or geographic limitations. Conflicting purchase-order terms do not modify these Terms unless expressly accepted in a written agreement signed by CareFree Plus, Inc..
8. Pricing and Payment
Prices may appear in a quotation, proposal, invoice, order confirmation, or other written communication. Unless expressly included, prices may exclude sales taxes, VAT, ITBIS, customs duties, import duties, brokerage, freight, insurance, handling, storage, delivery surcharges, regulatory fees, and government charges. Payment terms appear on the applicable quotation or invoice. Advance-payment orders are not processed until payment has cleared.
9. Final Sale and No Refunds
ALL SALES ARE FINAL. Except where required by applicable law or expressly agreed by CareFree Plus, Inc. in writing before the transaction, payments are non-refundable. This includes medical supplies, equipment, devices, PPE, diagnostic products, sterile products, consumables, special-order and custom products, products procured specifically for a customer, international sourcing orders, deposits, procurement fees, sourcing fees, logistics fees, freight, customs expenses, and services already performed. By paying, the customer acknowledges and accepts this No Refund Policy.
10. No Refunds for Change of Mind
CareFree Plus, Inc. does not provide refunds because a customer changes its mind, no longer needs a product, orders an incorrect quantity, selects an incorrect product, finds a lower price, experiences a budget change, loses funding, changes suppliers, cancels a project, fails to obtain approval or permits, cannot use a product for its intended application, or fails to verify specifications before purchasing. Customers should confirm all requirements before payment.
11. Special Orders and Procurement Orders
Products sourced or purchased specifically for a customer are special orders. Once CareFree Plus, Inc. has placed an order, reserved inventory, committed funds, started procurement, engaged a manufacturer, arranged freight, begun customs processing, or otherwise incurred costs, the order may not be canceled and amounts paid are non-refundable except where required by law or agreed in writing.
12. Sensitive and Medical Products
For health, safety, quality-control, traceability, and supply-chain reasons, sterile products, opened products, broken-seal products, medical consumables, single-use devices, diagnostic products, temperature-controlled products, pharmaceuticals where legally supplied, customized products, short-shelf-life products, and customer-specific products may not be returned. CareFree Plus, Inc. may reject attempted returns of these products.
13. Damaged, Defective, or Incorrect Products
Customers must inspect shipments promptly. Claims for shipping damage, incorrect or missing products, manufacturing defects, or quantity discrepancies must be reported to info@carefree-consulting.com within 5 business days after delivery unless a different period is stated in writing. Include the order and invoice numbers, product and quantity, photographs, packaging photographs, lot or serial numbers, issue description, and shipping documentation. After review, CareFree Plus, Inc. may replace, repair, coordinate a manufacturer warranty claim, replace missing items, issue merchandise credit, or provide another commercially reasonable remedy. A cash refund is provided only when required by law or authorized in writing.
14. Returns and Cancellations
Do not return products without prior written authorization. Unauthorized returns may be rejected, returned, destroyed where legally permitted, or subject to shipping, storage, handling, or disposal charges. Orders may not be canceled after CareFree Plus, Inc. has committed funds or initiated procurement unless approved in writing. Approved cancellations remain subject to nonrecoverable supplier, manufacturer, procurement, administrative, shipping, freight, customs, currency, storage, restocking, and cancellation expenses.
15. Shipping, Delivery, and Risk of Loss
Estimated delivery dates are estimates unless expressly guaranteed in writing. Delivery may be affected by manufacturer or supplier delays, carrier delays, customs, inspections, port congestion, weather, natural disasters, labor disruptions, government action, shortages, trade restrictions, or other events outside our reasonable control. Title and risk of loss transfer according to the quotation, shipping terms, Incoterms, purchase agreement, or other transaction documentation.
16. Product Availability and Substitutions
Product availability is subject to change. CareFree Plus, Inc. does not guarantee that products shown, quoted, requested, or previously supplied will remain available. If a product becomes unavailable, we may propose an equivalent product, alternative manufacturer, revised delivery date, or revised procurement solution. Substitutions requiring customer authorization will be submitted for approval where applicable.
17. Regulatory Compliance
Medical-product regulations vary by jurisdiction. Customers are responsible for determining whether products may legally be imported, distributed, sold, possessed, prescribed, administered, installed, operated, or used in the destination jurisdiction. CareFree Plus, Inc. may request documentation for legal, regulatory, manufacturer, supplier, export-control, sanctions, licensing, or compliance purposes and may refuse or suspend a transaction presenting a compliance concern.
18. Customer Responsibilities
Customers are responsible for accurate product requirements, quantities, specifications, delivery information, permits, licenses, intended-use suitability, professional credentials, storage requirements, manufacturer instructions, personnel training, healthcare and product regulations, and prompt inspection of deliveries.
19. Manufacturer Warranties and Third Parties
Products may be subject to warranties from their manufacturers. Unless CareFree Plus, Inc. provides a separate written warranty, we do not extend or enlarge a manufacturer's warranty, but may assist with legitimate warranty claims. Our operations may involve manufacturers, suppliers, distributors, carriers, freight forwarders, customs brokers, warehouses, payment processors, and technology providers. Third-party terms and restrictions may apply.
20. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE, PROCUREMENT SERVICES, SOURCING SERVICES, AND OTHER SERVICES ARE PROVIDED ON AN AS IS AND AS AVAILABLE BASIS, EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN WRITING. FUSION GLOBAL ONE DISCLAIMS IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, to the maximum extent permitted by applicable law.
21. Website Use
The CareFree Plus, Inc. website is provided for general business and informational purposes. You agree not to use it unlawfully, interfere with security, attempt unauthorized access, introduce malicious software, scrape protected information without authorization, impersonate a person or organization, submit fraudulent requests, misrepresent purchasing authority, or violate applicable law.

During a business relationship, each party will use commercially reasonable measures to protect confidential information and use it only for legitimate business purposes, except when disclosure is required by law.
24. Export Controls and Sanctions
Customers may not purchase, export, re-export, transfer, or use products in violation of trade-control, export-control, customs, sanctions, or embargo laws. CareFree Plus, Inc. may conduct compliance screening and refuse transactions where required or reasonably necessary.
25. Suspension or Termination
CareFree Plus, Inc. may suspend or terminate services or refuse further transactions when reasonably necessary due to nonpayment, fraud, compliance or safety concerns, abuse, breach of these Terms, legal requirements, sanctions, export restrictions, or material misrepresentation. Amounts already owed remain payable after termination.
26. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUSION GLOBAL ONE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, including lost profits, revenue, contracts, opportunities, goodwill, data, or downstream commercial losses. Our aggregate liability for a transaction will not exceed the amount actually paid to CareFree Plus, Inc. for the product or service giving rise to the claim. Nothing limits liability that cannot legally be limited.
27. Indemnification
To the maximum extent permitted by law, the customer agrees to defend, indemnify, and hold harmless CareFree Plus, Inc. and its affiliates, officers, directors, employees, agents, and representatives from claims, losses, liabilities, damages, costs, and reasonable legal fees arising from customer misuse, failure to follow instructions, unauthorized clinical use, regulatory violations, negligence, breach of these Terms, inaccurate information, resale, or redistribution, except to the extent caused by conduct for which indemnification cannot lawfully be required.
28. Force Majeure
CareFree Plus, Inc. will not be liable for failure or delay caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, hurricanes, earthquakes, epidemics, pandemics, war, terrorism, civil unrest, government action, sanctions, embargoes, export restrictions, labor disputes, transportation interruptions, port closures, customs delays, cyberattacks, utility failures, supplier failure, manufacturer shortages, or material shortages. Obligations may be suspended during the affected event.
29. Fraud and Chargebacks
Customers agree to contact CareFree Plus, Inc. regarding legitimate order disputes before initiating a payment dispute or chargeback whenever reasonably possible. A knowingly false or misleading chargeback may breach these Terms. We may provide transaction records, communications, purchase orders, invoices, delivery documentation, tracking information, and other evidence to financial institutions and payment processors.
30. Governing Law and Dispute Resolution
These Terms and disputes arising from them will be governed by the laws of the Dominican Republic, without regard to conflict-of-law principles. The parties agree that disputes will be resolved in the courts located in Santo Domingo, Dominican Republic, except where applicable law requires otherwise. Before filing a lawsuit, the parties will make reasonable efforts to resolve disputes through direct written communication sent to info@carefree-consulting.com.
31. Entire Agreement and Severability
These Terms, together with applicable quotations, invoices, accepted purchase orders, product-specific agreements, privacy policies, and written contracts, constitute the agreement concerning the applicable transaction. A separately executed written agreement controls over these Terms to the extent of an express conflict. If any provision is invalid or unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions remain effective.
32. Changes to These Terms
CareFree Plus, Inc. may update these Terms periodically. The Last Updated date identifies the latest version. Changes apply prospectively unless applicable law permits otherwise. Transactions already governed by a separately accepted written contract continue under that contract.
